These Terms of Service (“Terms”) govern your access to and use of the websites, applications, products, and services provided by Inciple LLC (“Inciple,” “we,” “us,” or “our”), collectively referred to as the “Services.”
Inciple LLC is a Delaware limited liability company registered to do business in California, with its principal business address at 2108 N Street, Suite N, Sacramento, California 95816.
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
You must be at least 18 years old, or the age of majority where you live, to use the Services.
You agree to:
Provide accurate information when requested.
Keep your account credentials secure.
Accept responsibility for activity conducted through your account.
Use the Services only for lawful purposes.
Notify us promptly if you believe your account has been accessed without authorization.
You may not misuse, interfere with, disrupt, or attempt to gain unauthorized access to the Services or their related systems.
Subject to these Terms, Inciple grants you a limited, personal, nonexclusive, nontransferable, and revocable license to access and use the Services for their intended purposes.
The Services—including software, designs, text, graphics, logos, trademarks, interfaces, and other content provided by Inciple—are owned by Inciple or its licensors and are protected by intellectual-property laws.
Unless applicable law permits it, you may not:
Copy, modify, distribute, sell, lease, or sublicense the Services.
Reverse engineer or attempt to extract the source code of the Services.
Use automated systems to scrape or access the Services without permission.
Remove copyright, trademark, or proprietary notices.
Use the Services to introduce malware or interfere with another user.
You may submit information, instructions, documents, or other materials through the Services (“User Content”). You retain ownership of your User Content.
You grant Inciple a nonexclusive, worldwide, royalty-free license to host, store, process, reproduce, and transmit User Content only as reasonably necessary to operate, secure, support, and provide the Services to you.
You represent that you have the rights and permissions necessary to provide the User Content and that its use through the Services will not violate applicable law or another person’s rights.
Our collection and handling of personal information contained in User Content are described in our Privacy Policy.
If you affirmatively opt in, Inciple may send recurring informational SMS messages based on your requests, selections, alerts, or account activity. We do not send marketing or promotional SMS messages through this informational opt-in.
Consent to receive SMS messages is not a condition of purchase. Message frequency varies, and message and data rates may apply. Reply STOP to cancel or HELP for assistance. You may also contact us at contact@inciple.co. We will honor opt-out requests as required by applicable law.
We may send transactional or service-related emails when necessary to operate the Services, respond to your requests, provide security notices, or communicate important account information. Any marketing emails, if offered in the future, will include an unsubscribe method.
Mobile carriers are not responsible for delayed or undelivered messages.
Our Privacy Policy explains how we collect, use, disclose, and protect personal information. The Privacy Policy is incorporated into these Terms by reference.
The Services may contain links to, integrate with, or rely on third-party products and services. Inciple does not control and is not responsible for the content, availability, security, privacy practices, or performance of third-party services.
If you download an Inciple application through the Apple App Store, your download and use of the application are also subject to Apple’s applicable terms. Unless Inciple provides a custom end-user license agreement, Apple’s standard end-user license agreement applies.
If you download an Inciple application through Google Play, your download, purchase, and use of the application are also subject to the Google Play Terms of Service and other applicable Google Play policies.
The applicable marketplace terms govern your relationship with Apple, Google, or another marketplace, including marketplace-operated downloads, payments, cancellations, and refunds. These Terms govern your relationship with Inciple and your use of the Services. If marketplace terms conflict with these Terms, the marketplace terms control only to the extent required for your use of that marketplace.
Apple, Google, and other marketplace operators are not responsible for operating, supporting, or providing the Inciple Services except to the extent required by their own terms or applicable law.
Some features may become available for a fee. If we offer paid features, the applicable price, billing period, renewal terms, and cancellation terms will be presented before you complete the purchase.
Purchases made through an app marketplace may be processed and managed by that marketplace and may be subject to its payment, cancellation, and refund rules.
To the maximum extent permitted by law, the Services are provided “as is” and “as available.”
Inciple disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and noninfringement. We do not guarantee that the Services will always be available, uninterrupted, accurate, error-free, secure, or suitable for a particular purpose.
Information provided through the Services is for general informational purposes unless we expressly state otherwise. You are responsible for evaluating information before relying on it.
Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.
To the maximum extent permitted by law, Inciple and its owners, officers, contractors, agents, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business opportunity, or goodwill arising from or relating to the Services.
To the maximum extent permitted by law, Inciple’s total liability for all claims arising from or relating to the Services will not exceed the greater of:
The amount you paid Inciple for the Services during the 12 months immediately before the event giving rise to the claim; or
$100.
These limitations do not apply to liability that cannot legally be limited or excluded, including any mandatory statutory consumer rights.
Some jurisdictions do not allow certain warranty exclusions or liability limitations. In those jurisdictions, these provisions apply only to the extent permitted by law.
You may stop using the Services at any time.
We may suspend or terminate your access if we reasonably believe that you violated these Terms, created risk or potential legal exposure, used the Services unlawfully, or threatened the security or operation of the Services or other users.
Upon termination, your right to use the Services ends. Sections that by their nature should survive termination—including provisions concerning ownership, disclaimers, limitations of liability, governing law, and disputes—will remain effective.
We may modify the Services or these Terms from time to time.
If we make material changes, we will provide reasonable notice through the Services, by email, or by another appropriate method. The updated Terms will identify their effective date.
Changes will apply prospectively unless applicable law permits otherwise. Your continued use of the Services after updated Terms become effective constitutes acceptance of those Terms.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules.
Subject to any mandatory rights available under applicable law, disputes arising from or relating to these Terms or the Services must be brought exclusively in the state courts located in Sacramento County, California, or the United States District Court for the Eastern District of California. Each party consents to the personal jurisdiction of those courts.
These Terms and the Privacy Policy constitute the entire agreement between you and Inciple concerning the Services unless another written agreement applies.
If a provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Inciple’s failure to enforce a provision is not a waiver of its right to do so later.
You may not assign your rights or obligations under these Terms without our written permission. Inciple may assign these Terms as part of a merger, acquisition, reorganization, sale of assets, or operation of law.
